A lot of nonsense about the DE Constitution and the DGCL combining in a way to make any regulation of any corporation's business affairs effectively unconstitutional. Truly the dream! (If this was SCOTUS, it would fit right in with all the federalist society's anti-Chevron stuff, imho).
