Regarding the decision making rules in the charter, is the majority vote rule a majority of board membership or a majority of a quorum?

Since a quorum takes 3 of 5, a majority of a quorum would be 2 votes in favor, meaning a board minority could take actions if they convened a quorum with one other

Regarding the goal of establishing or joining a foundation, I highly recommend weighing the trade offs of a 501(c)(6) vs. 501(c)(3) carefully!

The LF and its child foundations are (c)(6)‘s, which can lead to constituency challenges between their member orgs vs. public community stakeholders.
