Could be that with Ubi's track record they've been having trouble courting new investors for the whole company, so they form this new entity with their safest and most profitable IPs to bring in new investment?

Divestment. I'm no expert but there's good reason why big companies often split into smaller ones. Becomes easier to manage that way, plus if one entity fails it's easier to just drop it all together with minor damage to the parent company.
