Title 10, U.S. Code, Section 152 specifies that the chairman is appointed by the President from among the OFFICERS OF THE ARMED FORCES and must be confirmed by the Senate.

A retired officer is not an officer of the armed forces. They hold no senate confirmed commission as an officer.
