Just a fine point on drafting, but @zimmermanportland.bsky.social was correct. "WHEREAS" clauses are background and not legally operative - anything *binding* should follow the "BE IT RESOLVED." The "in accordance with this resolution" is a nice try, but no, that's not how it works.
